2.1 Customer Data & Enclaves

The customer retains all right, title, and interest (including all patent, copyright, trademark, and trade secret rights) in and to:

  • All data, files, code, documents, and technical information uploaded, stored, or processed within customer tenants or enclaves.
  • All operational telemetry, security event logs, audit records, and user directories originating from customer systems.
  • All custom compliance documentation, System Security Plans (SSPs), and Plan of Action and Milestones (POA&Ms) authored for the customer.

    • 2.2 eTrepid Intellectual Property

    eTrepid retains all right, title, and interest in its pre-existing methodologies, proprietary ThreatKrusher software agents, internal SOC playbooks, automated triage algorithms, and general compliance templates. The customer receives a perpetual, non-exclusive license to use eTrepid-delivered templates solely for its internal compliance operations.

    3. Defense Federal Acquisition Rights (DFARS) Alignment

    For clients operating in the Defense Industrial Base, eTrepid recognizes and upholds the Government Purpose Rights and Unlimited Rights clauses under:

  • DFARS 252.227-7013: Rights in Technical Data—Noncommercial Items.
  • DFARS 252.227-7014: Rights in Noncommercial Computer Software.

    • eTrepid asserts no restrictive markings or proprietary vendor-lock data rights on deliverables produced under funded defense advisory engagements.

    4. Data Extraction and Termination Portability

    Upon termination or expiration of any service agreement:
